Please review these terms and conditions carefully before using the VCN Services. These Terms and Conditions governs the availability and use of the VCN Services provided by us. By accessing or using any part of the VCN Services, you (the “Customer”, or “you”, “your”, or “any authorized user”) accept, and agree to become bound by the terms of these Terms and Conditions. Besides, you also agree to comply with and be bound by our Privacy Policy.

在使用虚拟卡服务前,请仔细阅读本条款和细则。本条款和细则规定了我们提供的虚拟卡服务的可用性和使用情况。当使用任何虚拟卡服务时，您(“客户”、“您/您们”、“任何授权的用户”)接受并同意本条款和细则中的条文。同时，您同意遵守并受我们的隐私政策的约束。

These Terms and Conditions is written in English. We may translate these terms into other languages for the sake of convenience of our customers. In case there is any conflict or discrepancy between a translated version of these terms and conditions and the English version, the English version shall prevail.

本条款及细则以英语书就。为客户方便考虑，我们可能会把本条款翻译成其他语言。如果翻译版本的条款和细则和英语版本之间存在任何冲突或歧义，则以英语版本为准。

These Terms and Conditions shall be effective and legally binding on you upon your use of the VCN Services (“Effective Date”). Subsequently, these Terms and Conditions shall continue to be in force up to and until the date of termination. Your acceptance of these Terms and Conditions serves as confirmation that you fully understand and accept these Terms and Conditions. If you do not understand any of these Terms and Conditions, please contact your legal advisor for proper legal advice.

当您使用虚拟卡服务时，本条款及细则将立刻生效且对您具有法律约束力(“生效日期”)。此后，本条款及细则将持续有效直至终止之日为止。您接受本条款及细则，则意味着您完全理解并接受本条款及细则。如果您不理解本条款及细则的任何内容，请联系您的法律顾问以获取适当的法律意见。

1. 1.Important information

1. 1. 1.1By ticking the box next to “I accept the terms and conditions for VCN Services” and clicking the “apply” button, you agree that you and your use of the VCN Services are subject to these Terms and Conditions and the mandatory provisions of the Applicable Law. You hereby acknowledge that you act in your professional or business capacity, and that you are not entering into these Terms and Conditions nor will use the VCN Services as Consumer. You shall be solely responsible for understanding and complying with any and all laws, rules, regulations and guidelines of your home country that may be applicable to you in connection with your use of the VCN Services, including, without limitation, laws governing payment services including anti-money laundering or anti-terrorist financing requirements, consumer protection, data protection laws, anti-discrimination, false advertising, gambling, illegal sale or purchase or exchange of any goods or services, and those related to export/import activity, taxes or foreign currency exchange. 

勾选 “我接受虚拟卡服务的条款和条件” 旁边的方框并点击 “申请” 按钮，即表示您同意您和您对虚拟卡服务的使用均受本条款和条件以及适用法的强制性规定的约束。您特此确认，您是以专业或商业身份行事，您既未订立本条款和条件，也不会以消费者身份使用虚拟卡服务。阁下应自行负责了解并遵守阁下之国家可能适用于阁下使用虚拟卡服务的任何及所有法律、规则、规定和准则，包括但不限于有关支付服务的法律（包括反洗钱或反恐怖主义融资要求）、消费者保护、数据保护法、反歧视、虚假广告、赌博、非法销售或购买或交换任何货物或服务，以及与进出口活动、税收或外币兑换有关的法律。

1. 1. 1.2We may close, suspend or limit your access to your use of the VCN Services or stop your Hadsund Card(s) if you violate these Terms and Conditions, any Applicable Law, or any other agreement you enter into with Hadsund or pursuant to any proprietary monitoring used by Hadsund when assessing the risk associated with your transaction activity or otherwise. For this, you may refer to paragraph 8 for details. We may also limit your access to funds without assigning any reason. 

如果您违反这些条款和条件、任何适用法、或您与恒新签订的任何其他协议、或根据恒新在评估您的交易活动相关风险时使用的任何专有监控或其他情况，我们可能会关闭、暂停或限制您使用虚拟卡服务或停止您的恒新卡。关于这一点，您可以参考第 8 段的详细信息。我们也可以在不说明任何理由的情况下限制您的资金使用。

1. 1. 1.3Please also note that our Privacy Policy forms part of these Terms and Conditions.  The Privacy Policy is specifically designed to set out our commitment to maintain your privacy, as well as our use and disclosure of your personal data. 

请您留意，我们的隐私政策构成了本条款及细则的一部分。隐私政策是我们为致力于保障您的隐私及我们对您的个人信息的使用及披露而专门设计的。

1. 1. 1.4We may from time to time issue statements, guidelines, directives or similar documents which may form part of these Terms and Conditions.  Such documents will be posted on our Website or sent to you by means set out in these Terms and Conditions.  You should also keep updated on these Terms and Conditions. 

我们可能不时发布说明、指引、指南或类似的文件，他们可能构成本条款及细则的一部分。该类文件将在我们的网站颁布，或通过本条款及细则列出的途径发送给您。请您持续留意本条款及细则的最新版本。

1. 2.Definitions 

定义

In these Terms and Conditions, the following words shall have the meanings set out below unless the context otherwise requires:

在本条款及细则中，除文义另有需要，下列词语有下列含义：

1. 1. 2.1“Applicable Law” means any applicable law, regulation, directives or generally accepted practices or guidelines from time to time issued by any regulatory authority, or any other jurisdictions applicable to your use of the VCN Services, including, without limitation, laws governing payment services including anti-money laundering or terrorist financing requirements, data protection laws, anti-discrimination, false advertising, gambling, illegal sale or purchase or exchange of any goods or services, and those related to export/import activity, taxes or foreign currency transactions. The relevant laws, regulations and guidelines in Hong Kong shall include, without limitation: 

“适用法”是指适用于您对虚拟卡服务的使用的任何适用法律、法规、指南，或普遍受接受的做法，或不时由监管部门颁布的规则，或其他司法管辖区内的法律，包括但不限于以下与支付服务相关的监管法律：反洗钱和反恐怖主义融资、信息保护、反歧视、赌博、虚假广告、非法销售或购买或交易任何商品或服务，和相关的进出口活动、税收或外汇交易活动。在香港的相关法律、法规及规则包括但不限于：

1. (a)Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615); 

《打击洗钱及恐怖分子资金筹集条例》（第615章）;

1. (b)Drug Trafficking (Recovery of Proceeds) Ordinance (Cap. 405); 

《贩毒(追讨得益)条例》（第405章）;

1. (c)Organized and Serious Crime Ordinance (Cap. 455); 

《有组织及严重罪行条例》（第455章）;

1. (d)United Nations (Anti-Terrorism Measures) Ordinance (Cap. 575); 

《联合国(反恐怖主义措施)条例》(第575章);

1. (e)United Nations Sanctions Ordinance (Cap. 537); 

《联合国制裁条例》(第537章);

1. (f)Weapons of Mass Destruction (Control of Provision of Services) Ordinance (Cap. 526); and 

《大规模毁灭武器(提供服务的管制)条例》(第526章);

1. (g)Guideline on Anti-Money Laundering and Counter-Financing of Terrorist (For Money Service Operators). 

打击洗钱及恐怖分子资金筹集守则（针对金钱服务运营商）。

1. 1. 2.2“Approved Payee” means a corporate entity from time to time approved by Hadsund, including, without limitation, third party payment processors. 

“经核准收款方”指一个不时经恒新核准的法人，包括但不限于第三方支付公司。

1. 1. 2.3“Approved Payee Account” means the bank account into which you wish to transfer the amount specified in the Remittance Instruction through the VCN Services. For the avoidance of doubt, such account shall in principle be under the name of the Approved Payee. 

“经核准收款方账户”指您于使用虚拟卡服务并提供汇款指示需转入款项的银行账户。为免疑虑，该账户原则上应属于经核准收款方。

1. 1. 2.4“Business Day” means a day (other than a Saturday or Sunday or a public holiday in Hong Kong and such other jurisdictions where the Remittance Transaction takes place) on which banks are open for general business in Hong Kong. 

“营业日”指香港商业银行一般开放进行正常银行业务交易的日子（星期六、星期日、香港及发生汇款交易的其他司法管辖区的公众假期除外）。

1. 1. 2.5“Consumer” means a natural person or legal person, who uses payment services for personal needs outside of his/her business, commercial or professional needs or activities, or a consumer as defined by the Applicable Law. 

“消费者”指使用支付服务来满足除了业务、商业或专业需求或活动以外的个人需求的自然人或法人，或根据适用法定义为消费者的人士。

1. 1. 2.6“Customer” or “You” means the individual or legal entity who enters into these Terms and Conditions and in whose name is registered as owner of the Hadsund Cards. 

“客户”或“您”指的是您，也即签订本条款及细则，并以其名字（名称）注册了恒新卡的个人或法人组织。

1. 1. 2.7“Damages” means all costs, expenses, losses, damages or the like directly or indirectly suffered or incurred by Hadsund in performance of these Terms and Conditions for any reason whatsoever. 

“损失” 指恒新在履行本条款及细则时因任何原因直接或间接遭受或引致的成本、花费、损失和损害等。

1. 1. 2.8“Fees” are the charges payable by you to us for using the VCN Services. 

“费用”指您为使用虚拟卡服务而产生的费用.

1. 1. 2.9“Hadsund”, “we”, “us” or “our” means Hadsund International Technology Limited, a company incorporated under the laws of Hong Kong which holds a money service operator licence issued by the Customs and Excise Department of Hong Kong. References to Hadsund shall include, without limitation, reference to its holding companies, subsidiaries, affiliates, directors, investors and employees. 

“恒新”或“我们”或“我们的”是指恒新国际技术有限公司,一间按照香港法律成立的、持有香港海关发出的金钱服务运营牌照的公司。对恒新的指代应当包括但不限于对其持股公司、子公司、关联公司、董事、投资人和雇员。

1. 1. 2.10“Hadsund Card(s)” means the payment card(s) from time to time offered by us to the Customer(s). 

“恒新卡” 指由我们不时向客户提供的一张或多张付款卡。

1. 1. 2.11“Hadsund website” or “Website” means our website. 

“恒新网站”或“网站”，指我们的网站。

1. 1. 2.12“Remittance” or “Remittance Transaction” means the act of remittance by you to the Approved Payee(s) through the Hadsund Card(s) pursuant to the Remittance Instruction.. 

“汇款”或”汇款交易”指您基于汇款指示利用一张或多张恒新卡向一名或多名经核准收款方进行汇款的行为。

1. 1. 2.13“Remittance Instruction” means an instruction given by you to us requesting to conduct remittance of funds to the Approved Payee(s). 

“汇款指示”指您向我们发出并要求将款项汇出至一名或多名经核准收款方的指示。

1. 1. 2.14“Warranties” means the representations and warranties and undertakings set out in paragraph 5. 

“保证”指第5条中所列的声明与保证。

1. 3.Application of your Hadsund Card(s)

1. 1. 3.1Application of your Hadsund Card(s) 

申请您的恒新卡

1. (a)In order for you to enjoy the benefits of the VCN Services, you need to apply for one or more Hadsund Card(s). It should be noted that your Remittance Transactions must be approved by Hadsund before you use the Hadsund Card(s).  As part of the application process, you will need to accept these Terms and Conditions, Privacy Policy, other documents from time to time issued by us and any amendment and supplement thereto. You agree to provide us with true, accurate and complete information to us. You will be able to see and update relevant information in the Website after successful registration. 

为享受虚拟卡服务，您需要申请一张或多张恒新卡。您的汇款交易必须于您使用恒新卡前取得恒新批准。作为申请过程的一部分，您将需要接受本条款及细则、隐私政策及我们不时发布的其他文件，以及不时对上述文件的修改及补充。您同意向我们提供完整、真实和准确的信息。在成功注册后，您可以于网站查看并更新您的相关信息。

1. (b)You may from time to time apply for the Hadsund Card(s) by submitting an application in a form satisfactory to us.  We may, at our sole and absolute discretion, approve such application and grant you a Hadsund Card or additional Hadsund Cards, and may attach conditions to the said Hadsund Card(s).  The Hadsund Card(s) issued shall only be applied to conduct remittance through the card association network to the counterparties from time to time approved by us. 

您可以不时提交恒新卡申请表。 我们可以自行决定是否批准您的申请，并向您发出一张恒新卡或額外的恒新卡，以及可能对上述恒新卡上附加使用条件。 所发行的恒新卡仅适用于透过卡组网络向我们不时批准的交易方进行汇款。

1. (c)You agree that the Hadsund Cards issued by us shall be solely for the purpose of making Remittance to the counterparties approved by us. Each Hadsund Card shall bear an expiry date, which shall usually be not more than three (3) years. 

您同意我们发行的恒新卡仅用于向我们认可的交易方汇款。每张恒新卡都有一个有效期，通常不超过三(3)年。

1. 1. 3.2Eligibility

To be eligible for registration of the VCN Services:

为开设虚拟卡服务，您需要满足以下条件：

1. (a)you must attain the age of 18 and are legally capable to enter into these Terms and Conditions with us. If you are registering as a business entity, the business entity must have legal capacity to enter into these Terms and Conditions with us and the person registering the VCN Services on behalf of the business entity must attain the age of 18 and have the necessary authority to act on behalf of such entity; 

您必须年满18岁并在法律上拥有签订本条款及细则的行为能力。如果您以商业主体的身份注册，该商业主体必须拥有同意本条款及细则的法律能力，且代表该商业主体注册虚拟卡服务的自然人必须年满18岁并拥有为代表该主体行事的必要的授权许可。

1. (b)the VCN Services are solely intended to enable Remittance Transactions for business/commercial related activities only but NOT for personal use.  That being said, person-to-person transmission of funds shall be expressly excluded in the VCN Services. Therefore, you warrant to us that your use of the VCN Services shall be for your own business, trade or profession but not for any other purpose and the use of Hadsund Card(s) is/are solely intended for the purpose of making Remittance Transactions approved by us but not for any other use. You hereby undertake with us that you shall in no event use the VCN Services as a Consumer; 

虚拟卡服务仅旨在便利与商业和业务活动相关的汇款交易，而不适用于个人或私人之间的使用。就此，个人对个人的资金传输应排除在虚拟卡服务之外。因此，您向我们保证您是在开展自己的业务、贸易或专业过程中使用虚拟卡服务，而不是为了其他目的使用，而恒新卡的使用亦仅为进行经我们批准的汇款交易的目的使用而非任何其他用途。您特此确认于使用虚拟卡服务时不会以消费者身份行事。

1. (c)you must have the full legal capacity to enter into these Terms and Conditions. If you register for the VCN Services on behalf of a business or commercial entity, you warrant that you are legally authorized under the business entity's formation documents and/or under the laws of your home country to agree to these Terms and Conditions; 

您保证在法律上有签订本条款及细则的完全行为能力。如果您代表企业或商业组织注册虚拟卡服务，您保证您已经获得根据该商业组织的成立文件和/或根据您所在国家的法律合法授权，并且有权同意并接受本条款及细则。

1. (d)you must use VCN Services to transact on your own behalf and not on behalf of any other person or business entity, except in cases where you have obtained our approval in writing; and 

除您已获得我们书面许可的情形外，虚拟卡服务必须是为您自己本人交易而不是代表其他任何个人或商业主体而使用。

1. (e)you must promptly update your registration information with us to ensure that such information is true, accurate and complete at all times. 

您必须及时向我们更新您的注册信息，确保该信息在任何时候的完整、真实和准确。

By registering the VCN Services or applying for one or more Hadsund Cards, and/or by continue using the VCN Services, you are deemed to have met all the eligibility requirements set forth above.

通过注册虚拟卡服务或申请一张或多张恒新卡，及/或通过使用虚拟卡服务，您将被视为满足了所有上述资格要求。

1. 1. 3.3Know Your Customer

Your use of VCN Services shall be subject to Hadsund’s Know Your Customer (“KYC”) and approval process. We may request information and/or documents from you including, without limitation, information on your identity, your scope of business, and the shareholders and directors of the business registering for the VCN Services. Hadsund may, at our sole and absolute discretion, request you to provide further information relating to your business activities and require you to arrange for site inspection for checking and verification purposes.  We may also obtain information from third party intermediaries or databases in the approval process. We may, from time to time, through routine check or otherwise, request for further information from you. You agree to comply with all our KYC requirements within five (5) days from the date of request.  Failure to provide such requested information may result in suspension of your use of the VCN Services.

您使用虚拟卡服务须通过恒新的“了解您的客户” (“了解您的客户”)和注册时的批准程序。我们有权要求您提供（包括但不限于）您的身份信息、业务范围信息、以及登记虚拟卡服务业务的股东和董事信息。恒新可以行使绝对酌情权，采取必要的手段检查和验证您提供的信息，包括要求您提供关于业务的进一步信息、要求您安排到场检查，通过使用第三方中介或信息库以验证您的身份。我们可能不时通过例行检查或其他方式要求您提供进一步的信息。因应例行检查或其他情况，我们可能不时向您要求取得进一步信息。您同意于我们提出要求后的五天内满足我们所有的”了解您的客户”的要求。未能提供该等已要求的信息可能导致暂停您使用虚拟卡服务。

1. 4.VCN Services

1. 1. 4.1Scope of VCN Services 

虚拟卡服务范围

1. (a)The scope of VCN Services shall only be confined to provision of the Hadsund Cards and facilitating the Remittance Transactions in accordance with these Terms and Conditions but not otherwise. We shall in no event be involved in any underlying transactions between you and the Approved Payee(s). You authorize us to disburse funds in accordance with your Remittance Instructions. We shall in no event act as a trustee for you. For the sake of clarity, apart from the roles mentioned above, we take no role in any underlying contract to which you are a party. We may, at our sole and absolute discretion, use the services of third party service provider(s) to provide the VCN Services and process Remittance Transactions without notice. 

虚拟卡服务的范围仅限于在符合本条款及细则下提供恒新卡及及促成汇款交易而并非其他服务。我们在任何情况下均不介入您与经核准收款方的任何底层交易。您授权我们根据您的汇款指示下发资金。我们在任何情况下均不作为您的信托代理人。为免歧义，我们不参与任何您作为当事方的底层合同。我们可能按我们绝对的酌情权使用一个或多个第三方服务提供商提供虚拟卡服务，并在不发出通知的情况下处理汇款交易。

1. (b)You acknowledge that the VCN Services are not (1) a bank account, (2) a stored value facility, or (3) a credit card, and you are not permitted to carry out any activity that falls outside of the scope of the VCN Services. You agree to avoid any direct communication with any third party that is involved in provision of the VCN Services. Any direct contact with such third parties regarding the VCN Services may result in immediate termination of your use of the VCN Services. 

您明白虚拟卡服务并非(1)一个银行账户、(2)一个储值支付工具、或(3)一张信用卡，您不可参与任何在虚拟卡服务范围之外的活动。您同意避免与任何涉及虚拟卡服务的提供的第三方进行任何直接沟通。任何就虚拟卡服务与该等第三方的直接联络可能导致即时终止您对虚拟卡服务的使用。

1. (c)You acknowledge and confirm that (a) the Hadsund Cards shall only be applied by the purpose stated in these Terms and Conditions and shall in no event be used for any other purpose; and (b) the Hadsund Cards are not credit cards or prepaid cards and there is no credit or money on such Hadsund Cards or their respective network-based accounts. 

您承认并确认：(a) 恒新卡只能用于本条款和条件中规定的目的，在任何情况下都不能用于其他目的；(b) 恒新卡不是信用卡或预付卡，在恒新卡或其各自的网络账户中没有信用额或金钱。

1. 1. 4.2Remittance Transactions 

汇款交易

1. (a)We shall process a Remittance Transaction that we consider, at our sole and absolute discretion, to be properly sourced and authorized. You agree and accept that Hadsund may, at any time, reject, suspend or limit payments at our sole discretion, or suspend or terminate your access to the VCN Services, without assigning reasons thereto. You are informed that a Remittance Transaction carried out within the framework of these Terms and Conditions may be subject to disclosure requirements under the Applicable Law. You may, in accordance with the Applicable Law, access all of the information disclosed, provided this right to access does not undermine the purpose of the fight against money laundering or terrorist financing, where this data concerns you. No prosecutions or civil liability actions can be brought or any professional sanction taken against Hadsund, its managers or employees who have reported their suspicions in good faith to the relevant authorities. 

我们只会处理我们按我们单独及绝对酌情权认为已合适地追溯及已获合法授权的汇款交易。您同意并接受恒新可能不时行使绝对酌情权，在不提供理由的情况下拒绝、暂停或限制您使用支付，或暂停或终止您使用虚拟卡服务。您被特此告知，在本条款及细则框架下进行的汇款交易可能受到适用法的披露要求的限制。若信息与您有关，只要该访问权不与反洗钱或反恐怖主义融资的目的相违背，您可以在符合适用法的情形下访问所有的披露信息。若恒新、其管理者或职员已善意地将其怀疑报告给有关机构，不可向他们提起刑事指控、民事诉讼或职业处罚。

1. (b)If you are recommended to cooperate with us by other financial institutions, you shall irrevocably and unconditionally authorize such financial institutions to obtain your transaction data from us. 

如您是经其他财务机构推荐与我们开展合作的，则您应当不可撤销及无条件授权该等财务机构有权向我们取得您的交易数据。

1. (c)If you send us any Remittance Instructions, transaction information or provide us with information related to the transaction through other financial institutions, you shall be deemed to have authorized such financial institutions to send such order or information, and you shall bear the legal consequences and liabilities thereof. 

如您通过其他财务机构向我们发出任何汇款指示、交易信息及向我们提供交易有关的资料等均视为您授权该等财务机构向我们发出，您应对此承担法律后果和法律责任。

1. (d)If the financial institutions authorized by you provides us with incomplete, illegal, false and non-compliant transaction orders in accordance with the anti-money laundering requirements of the regulatory authority, we have the right not to execute such Remittance Instructions without any liability for breach of contract or otherwise. You shall compensate us for any loss or damage caused by such Remittance Instructions. 

如因您授权的其他财务机构向我们提供不完整、不合法、不真实、不符合监管机构反洗钱方面的要求的汇款指示，我们有权不予以执行并且不承担违约责任。如因此类汇款指示造成我们任何损失，由您进行赔偿。

1. (e)For the avoidance of doubt, you understand and acknowledge that the Remittance Instruction is irrevocable and that in the event of a conflict of transaction order, transaction information or information provided to us in relation to the transaction that is provided by you or by any other financial institution that is authorized by you, the instructions given by such financial institution shall prevail. 

为免疑虑，您明白及知悉上述汇款指示为不可撤销的，若您与经您授权的其他财务机构所发出任何交易指令、交易信息及向我们提供交易有关的资料等有所冲突，将以您授权的其他财务机构所发出的指示为准。

1. (f)For the purpose of this clause, "financial institution" means the technical service provider that provides you with technical service of connecting transaction interface which completes the development and transformation in accordance with the interface specifications provided by us and has realized the connection with our transaction system, and such financial institution must be accepted and designated by us. 

就本条而言，「财务机构」指为您提供交易接口对接技术服务，按照我们提供的接口规范完成开发改造，实现与我们的交易系统对接的机构，而该等财务机构必须为我们所接受及指定。

1. (g)We will only accept funds from you through bank transfers or other non-cash means and we shall in no event accept cash, credit card payments or checks. 

我们只接受您以银行转账或其他非现金方式提供的款项，而我们于任何情况均不接受现金、信用卡或支票付款。

1. (h)Use of Hadsund Card(s) 

恒新卡的使用

When you wish to use the Hadsund Cards to conduct Remittance, you shall issue a Remittance Instruction to us which must contain the following information:

1. (1)the amount and currency is to be executed; 

2. (2)the invoice and other proof of transaction details; 

3. (3)the name and address of the relevant Approved Payee; and 

4. (4)details of the Approved Payee Account. 

We may from time to time request for further information as and when we consider necessary at our sole and absolute discretion.

当您希望使用恒新卡进行汇款时，您应向我们发出汇款指示，其中必须包含以下信息：

(1) 汇款金额和币种；

(2) 发票和其他交易细节证明；

(3) 相关经核准收款方的姓名和地址；及

(4) 经核准收款方账户的详情。

在我们认为必要时，我们可按我们单独及绝对酌情权自行决定不时要求您提供进一步的信息。

1. (i)We shall review the transaction details provided and may approve such Remittance Instruction at our sole and absolute discretion.  We further reserve the right to refuse processing of any Remittance Instructions without assigning reasons thereto.  We shall notify you once we have made a decision.

1. (j)We will only consider acceptance of any Remittance Instructions at the time when we actually received such instruction from you.  If such instruction is received after the cut-off time on any Business Day (which is determined by us from time to time) or on a day which is not a Business Day, such instruction shall be deemed to have received on the immediate succeeding Business Day. 

我们仅在实际收到乙方的汇款指示时才考虑接受该指示。 如果在任何营业日（由我们不时决定）的截止时间之后或在非营业日收到该指示，则该指示应视为在紧接的下一个营业日收到。

1. (k)Any Remittance Instruction issued by you and accepted by us shall be irrevocable.  We shall act in accordance with the Remittance Instruction if such Remittance Instruction is acceptable to us.  It should specifically be noted that the Hadsund Card cannot be used to make any payment other than the payment approved by us. 

任何您发出的且由我们接收的汇款指示均为不可撤销。若该等汇款指示为我们所接受，我们将依汇款指示行事。请特别注意：除已获我们批准的付款外，恒新卡不得进行任何其他付款。

1. (l)If the Remittance Instruction is, at our sole and absolute discretion, approved by us and if you have already credited sufficient funds to us for execution of the Remittance Transaction together with our service fees, we shall allow you to use the designated Hadsund Card to make payment to the Approved Payee Account.  You are reminded that such execution is completed once you made payment and there is no way to reverse such Remittance Transaction. 

如果我们批准汇款指示(由我们全权酌情决定)，并且您已经向我們存入足够的资金用于执行汇款交易以及我们的服务费用，我们将允许您使用指定的恒新卡向经核准收款方账户付款。请注意，当您完成支付款项一刻，汇款交易便视作完成，并且无法撤销。

1. (m)For the avoidance of doubt, the debit date which you act as payer shall in no event be earlier than the time at which the amount specified in the Remittance Instruction is paid to us. 

为免生疑问，您作为付款人的借记日期在任何情况下都不得早于向我们支付汇款指示中指定金额的时间。

1. 1. 4.3Currency

If the Remittance Transaction involves a currency conversion, it will be completed at the foreign exchange rate at the applicable transaction time as determined by us at our sole and absolute discretion. To avoid the fluctuation of foreign exchange rate, the foreign exchange rate of each Remittance Transaction will be determined when it is processed. As such, we are unable to provide you the foreign exchange rate in advance.

如果汇款交易涉及到货币兑换，则将按照我们全权确定的适用交易时间的汇率完成。为避免汇率波动，每笔汇款交易的汇率在汇款进行时确定。 因此，我们可能无法预先向您提供汇率。

1. 1. 4.4Fees 

费用

1. (a)You shall be liable to pay fees for (a) application of Hadsund Cards; (b) use of Hadsund Cards; and (c) replacement of Hadsund Cards.  All fees that may be charged by Hadsund are from time to time specified in a fee schedule published on the Website or by way of a fee letter sent to you by us.  You confirm that you fully understand the fees before using the VCN Services.  

您需要支付以下费用：(a) 申请恒新卡；(b) 使用恒新卡；(c) 更换恒新卡。 恒新可能收取的所有费用将不时在网站上公布的费用表中规定，或者通过我们发送给您的费用信函的方式规定。 在使用虚拟卡服务之前，您确认您完全理解这些费用。

1. (b)You agree to pay all fees as aforesaid.  We may from time to time adjust the fee schedule at our sole and absolute discretion.  After each update of the fee schedule, we will give you notification.  You will be deemed to have accepted to revised fee schedule when you continue using the VCN Services after such notification. 

您同意上述所有费用。我们有权不时调整费用列表。当我们调整费用列表时，我们将告知您。当您于该等通知后持续使用虚拟卡服务，您将被视为已接受经修订的费用列表。

1. (c)If you have any questions or are unclear as to any fees, you are encouraged to contact our customer support. 

如果您有任何问题或对任何费用不清楚，您应该联系我们的客户服务部门。

1. (d)Fees payable by you will be deducted from each Remittance Transaction when such Remittance Transaction is accepted by us. You hereby authorize and instruct us to so deduct such Fees. 

您所支付的费用将在汇款交易由我们接受时从汇款交易中扣除。您特此授权并指导我们扣除此类费用。

1. (e)If currency exchange is involved in settlement of our Fees, such currency exchange shall be subject to the exchange rate set out in paragraph 4.3.

1. (f)You further acknowledge that in the course of any Remittance Transaction, there may be bank charges imposed by intermediary banks or financial institutions, and there may be other charges reasonably imposed by any third party.  You agree that such charges (if any) shall be borne by you solely and you confirm that you shall be liable for all such bank charges and other fees and expenses charged by any service provider or third party.  Such charges shall be payable by you immediately upon our request. 

您进一步确认，在任何汇款交易过程中，中介银行或金融机构可能会收取银行费用，任何第三方也可能会合理收取其他费用。 阁下同意此类费用（如有）应由阁下独自承担，并确认阁下应对任何服务提供商或第三方收取的所有此类银行费用及其他费用和开支负责。 一旦我们提出要求，您应立即支付这些费用。

1. 1. 4.5Remittance Transaction records

1. (a)We will prepare activities reports in electronic form of your Hadsund Card(s) which will be available when you log in our portal. You are advised to constantly check if the records are correct and complete.  In case there is any incorrect or incomplete record, you shall report to us immediately in writing and we will conduct investigation and rectification.  We shall deem all transaction records are true, accurate and complete if we do not receive any objection from you within 30 days from the date of the said activity. 

我们将为您的恒新卡准备电子版的使用报告，您可以登录我们的网站查看。我们建议您经常检查记录是否正确和完整。 如果有任何错误或不完整的记录，您应立即以书面形式报告给我们，我们将进行调查和纠正。 如果我们在上述活动发生之日起 30 天内未收到阁下的任何异议，我们将认为所有交易记录均真实、准确和完整。

1. (b)Except as required by Applicable Law:

1. (1)you shall solely be responsible for compiling and retaining permanent records of all transactions and other data associated with your use of the VCN Services; 

您自行负责汇总和保留与您使用虚拟卡服务相关的所有交易和其他信息的永久性记录；

1. (2)you shall solely be responsible for checking all payment activity conducted by the Hadsund Card(s) to ensure no unauthorized behavior has occurred; 

您自行负责核对所有来自您使用恒新卡进行的付款活动，确保均已授权；

1. (3)we have no obligation to store, retain, report, or otherwise provide any copies of, or access to, any records, documentation or other information in connection with the VCN Services upon termination of your use of the VCN Services. 

于您终止使用虚拟卡服务，我们没有义务为客户存储，保留，报告或以其他方式提供与您通过虚拟卡服务提交的任何相关记录、文件或其他信息的任何副本。

1. 1. 4.6Notwithstanding any provision in these Terms and Conditions, in the event that (a) we have accepted any Remittance Instruction or any other order for remittance or currency exchange pursuant to your instructions and (b) you subsequently cancelled such order or circumstances arisen to the effect that we are unable to perform such order (otherwise than circumstances caused by us), you shall indemnify Hadsund for and keep Hadsund fully and effectively indemnified against all losses, damages, costs (including, without limitation, reasonable professional fees) and expenses incurred or suffered by Hadsund as a result of such inability to perform such order. 

不论本条款及细则的任何条文，若(a)我们已接受任何您给予的汇款指示或任何其他汇款或货币兑换指令及(b)您及后取消该指令或客观情况发生变化致使我们不能履行该指令(因我们造成的情况除外)，您应就恒新因未能履行该指令而造成或衍生的损失、损害、费用(包括合理的专业人士费用)及支出向恒新作出弥偿，并保证恒新全额及有效地获得弥偿。

1. 5.Your representations, warranties and undertaking

1. 1. 5.1You represent and warrant that you are not acting on behalf of, or for the benefit of, anyone else, unless in case of a natural person, opening the account for and under the direction of the company or legal person or entity, that employs such a natural person. 

您声明并保证您不代表或为任何其他人的利益行事，除非为自然人所开立公司或法人或法人组织的账户并在其指导下雇佣的自然人。

1. 1. 5.2You hereby undertake, until the term or termination of these Terms and Conditions, to communicate promptly to Hadsund any change in your business ownership, business activities, post mail address, email address, phone contact details etc. 

您特此承诺，直至本条款及细则的期限届满或终止，你将及时通知恒新您公司所有权，业务活动，邮寄地址，电子邮件地址，电话联系方式等方面相关的任何信息变更。

1. 1. 5.3You hereby represent, warrant and undertake to and with Hadsund (and its successors in title) that each of the following warranties is, as at the date hereof and from the date hereof up to and until termination of these Terms and Conditions are, true, accurate and not misleading in all respects: 

您就此向恒新(及其承继者)声明并保证,以下各保证均在本文件日期至本条款和细则终止之日为真实、准确且不误导：

1. (a)you have been duly incorporated and constituted, and is legally subsisting under the laws of its place of incorporation;

1. (b)these Terms and Conditions constitutes valid and legally binding obligations on you and is enforceable against you in accordance with its terms; 

本条款及细则对您构成有效且有法律效力的法律责任，且其条款对您具有法律约束力，并可强制执行；

1. (c)all authorizations, consents, licenses and approvals required from any governmental or other authority for or in connection with the execution, delivery and performance of these Terms and Conditions have been obtained by you; 

您已获取与本条款及细则的签署、送达及履行相关的所有由政府或其他机构颁发的授权、同意、牌照及批准；

1. (d)your submission to the non-exclusive jurisdiction of the Hong Kong courts as a party to these Terms and Conditions is valid and binding; 

您作为本条款及细则的一方，对香港法院的非排他管辖权的接受为有效且有拘束力；

1. (e)you are empowered and duly qualified and has the necessary licenses and authorizations to carry on your business in such countries in which it operates; 

您有能力且有资格且有必须的牌照及授权在您的业务所在国开展您的业务；

1. (f)you shall duly comply with all applicable laws, rules and regulations of Hong Kong and all countries you have operation; 

您应当妥善遵循香港及任何您有经营的国家的所有适用法律、法规与规则；

1. (g)in respect of your business: 

就您的业务而言：

1. (1)there are requisite corporate powers in respect thereof, all applicable legislations, rules and regulations have been complied with and observed, and there has been no breach or contravention of the same; 

您具有所需的企业法人能力，已留意并遵循所有适用法律、法规及规则且并无违反；

1. (2)all qualifications, registrations, licenses, know-how or other approvals necessary for the proper conduct of your business have been obtained and maintained and no event or omission has occurred whereby any of the same or the renewal thereof is or is likely to be thereby adversely affected, suspended or revoked; 

为妥善经营您的业务，所有所需的资格、注册、牌照、技能或批准均已获得并正在持有，无任何事件或疏漏或类似情况发生使得或有可能使得其受到负面影响、被暂停或吊销；

1. (3)all qualifications, registrations, licenses and other approvals may continue to be carried on and held by you up to and until the date of termination of these Terms and Conditions; and 

截至本条款及细则的终止之日，所有资格、登记、注册、牌照或批准持续生效并为您所持有；及

1. (4)the carrying on of which in no way contravenes or infringes any third party right including, without limitation, patents, industrial designs, copyrights and trademarks and other intellectual property rights. 

上述资格、注册、牌照或批准的持续生效并持有不以任何方式侵犯或违反任何第三方权益，包括但不限于专利、工业设计、著作权、商标及其他知识产权。

1. 1. 5.4You acknowledge and accept that we are entering into these Terms and Conditions in reliance of each of the warranties and the provisions contained therein. 

您明白并接受，我们依赖本处所包含的保证及条款而签订本条款及细则。

1. 1. 5.5You undertake with us that you shall promptly disclose in writing to us any event or circumstance which may arise or become known to you at any time which is inconsistent with any of the warranties herein or which would have constituted a breach of the warranties herein. 

您向我们保证，您将及时以书面方式向我们披露任何可能发生或您所知晓的、与本处所包含的保证不一致的或可能构成对保证的违反的事件或情况。

1. 1. 5.6You undertake with us that in connection with your use of VCN Services, you shall in no event: 

您向我们承诺，就与您使用虚拟卡服务相关，您在任何情况下均不得：

1. (a)commit any breach of these Terms and Conditions, our Privacy Policy, any other agreements and any amendments thereto that apply to you; 

违反本条款及细则、我们的隐私政策、任何其他适用的协议及其修订；

1. (b)violate any Applicable Law and any laws or regulations of the countries or regions where you are subject to; 

违反任何您受管辖的国家和地区的适用法、任何法律或法规；

1. (c)engage in any unlawful business or activity; 

介入任何非法业务或活动；

1. (d)infringe or misappropriate the intellectual property rights or rights of publicity or privacy of us or any third party; 

侵犯或滥用我们或其他第三方的知识产权、公开权或隐私权；

1. (e)provide false, inaccurate or misleading information to us or to any other party; 

向我们或其他任何各方提供错误、不准确或误导的信息；

1. (f)refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us; or 

拒绝就您的身份或您提供给我们的信息配合调查或提供确认；或

1. (g)send or receive funds that Hadsund reasonably believes to be potentially involve in money laundering, terrorist financing or other illegal activities. 

发送或接收恒新合理相信有可能涉及洗钱、恐怖主义融资或其他非法活动的资金。
