恒新用户注册协议

• You agree that you and your use of Hadsund Services are subject to this Agreement and the mandatory provisions of the Applicable Laws. You hereby acknowledge that you act in your professional or business capacity, and that you are not entering into this Agreement nor will use the Hadsund Services as Consumer. You shall be solely responsible for understanding and complying with any and all laws, rules, regulations and guidelines of your home country that may be applicable to you in connection with your use of the Hadsund Services, including, without limitation, laws governing payment services including anti-money laundering or anti-terrorist financing requirements, consumer protection, data protection laws, anti-discrimination, false advertising, gambling, illegal sale or purchase or exchange of any goods or services, and those related to export/import activity, taxes or foreign currency exchange.

  您知悉您本人和您对恒新服务的使用将受到本协议和适用法的强制性规定的约束。您特此声明，您是以专业或商业身份开展活动，您不是以消费者身份签署本协议以及使用恒新服务的。您须对理解和遵守您所在地的、与您使用恒新服务相关的法律、法规、规则和指引负有全部责任，包括但不限于，与以下监管支付服务相关的法律法规：反洗钱和反恐怖组织融资要求、消费者保护、信息保护、反歧视、赌博、虚假广告、非法销售或购买或交易任何商品或服务，和相关的进出口活动、税收或外汇交易活动。

• You acknowledge that there may be unilateral sanctions by certain countries on or against you or us from time to time. In such cases, unless the sanction imposed could affect our capability of provision of the Hadsund Services or affect your capability of receiving the Hadsund Services, neither party shall enquire for such sanctions or terminate this Agreement based on the sanctions imposed.

  您明白某些国家可能不时对您或我们实施单方面制裁。在此情况下，除非该制裁可能影响我们提供恒新服务的能力或影响您接收恒新服务的能力，否则任何一方不得因所施加的制裁而查询该制裁的情况或终止本协议。

• We may close, suspend or limit your access to your use of the Hadsund Services if you violate this Agreement, any of the Applicable Laws, or any other agreement you enter into with Hadsund or pursuant to any proprietary monitoring used by Hadsund when assessing the risk associated with your transaction activity or otherwise. We may also suspend or terminate your Hadsund Account if your account becomes inactive for a certain period of time. For this, you may refer to Schedule 5 for details. We may also limit your access to funds without assigning any reason.

  如果您违反本协议、任何适用法律、或任何其他与恒新签署的协议，或基于恒新评估与您的交易活动相关的风险而进行任何检查时，或其他情形下，我们可以关闭、暂停或限制您使用恒新服务。我们也可以因您的账户在一段时期内不活跃而暂停或终结您的恒新账户。详情请参阅附件5。我们也可在不提供理由的情形下限制您获得资金的权限。

• "Applicable Laws" means any applicable law, regulation, directives or generally accepted practices or guidelines from time to time issued by any regulatory authority, or any other jurisdictions applicable to your use of the Hadsund Services, including, without limitation, laws governing payment services including anti-money laundering or terrorist financing requirements, data protection laws, anti-discrimination, false advertising, gambling, illegal sale or purchase or exchange of any goods or services, and those related to export/import activity, taxes or foreign currency transactions. The relevant laws, regulations and guidelines in Hong Kong shall include, without limitation:

  "适用法"是指适用于您对恒新服务的使用的任何适用法律、法规、指南，或普遍受接受的做法，或不时由监管部门颁布的规则，或其他司法管辖区内的法律，包括但不限于以下与支付服务相关的监管法律：反洗钱和反恐怖主义融资、信息保护、反歧视、赌博、虚假广告、非法销售或购买或交易任何商品或服务，和相关的进出口活动、税收或外汇交易活动。在香港的相关法律、法规及规则包括但不限于：

• Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615);

  《打击洗钱及恐怖分子资金筹集条例》（第615章）;

• Drug Trafficking (Recovery of Proceeds) Ordinance (Cap. 405);

  《贩毒(追讨得益)条例》（第405章）;

• Organized and Serious Crime Ordinance (Cap. 455);

  《有组织及严重罪行条例》（第455章）;

• United Nations (Anti-Terrorism Measures) Ordinance (Cap. 575);

  《联合国(反恐怖主义措施)条例》(第575章）;

• United Nations Sanctions Ordinance (Cap. 537);

  《联合国制裁条例》(第537章）;

• Weapons of Mass Destruction (Control of Provision of Services) Ordinance (Cap. 526); and

  《大规模毁灭武器(提供服务的管制)条例》(第526章）;及

• Guideline on Anti-Money Laundering and Counter-Financing of Terrorist (For Money Service Operators).

• "Approved Payee" means a natural or legal person from time to time approved by Hadsund, including, without limitation, third party payment processors.

  "经核准收款方"指一个不时经恒新核准的法人，包括但不限于第三方支付公司。

• "Beneficiary Account" means your local beneficiary bank account into which you wish to receive Hadsund Balance through the Hadsund Services, as specified by you through your Hadsund Account.

  "提现账户"是指您的本地提现银行账户，也即，您通过恒新账户所指定的希望通过恒新服务接收恒新余额的银行账户。

• "Business Day" means a day (other than a Saturday or Sunday or a public holiday in Hong Kong and such other jurisdictions where the Transaction takes place) on which banks are open for general business in Hong Kong.

  "营业日"指香港商业银行一般开放进行正常银行业务交易的日子（星期六、星期日、香港及发生汇款交易的其他司法管辖区的公众假期除外）。

• "Buyer" means a person or entity that purchases your product or service from you or from a Platform.

  "买方"指的是从您或平台上购买您的产品或服务的个人或法人组织。

• "Consumer" means a natural person, who uses payment services for personal needs outside of his/her business, commercial or professional needs or activities, or a consumer as defined by the Applicable Laws.

  "消费者"指使用支付服务来满足除了业务、商业或专业需求或活动以外的个人需求的自然人或法人，或根据适用法定义为消费者的人士。

• "Customer" or "You" means the individual or legal entity who enters into this Agreement and in whose name the Hadsund Account is registered as owner of the Hadsund Account.

  "客户"或"您"指的是您，也即签订本协议，并以其名字义注册为恒新账户的个人或法人组织。

• "Damages" means all costs, expenses, losses, damages or the like directly or indirectly suffered or incurred by Hadsund in performance of this Agreement for any reason whatsoever.

  "损失" 指恒新在履行本协议时因任何原因直接或间接遭受或引致的成本、花费、损失和损害等。

• "Fees" are the charges payable by you to us for using the Hadsund Services.

  "费用"指您为使用恒新服务而产生的费用。

• "Hadsund", "we", "us" or "our" means Hadsund International Technology Limited, a company incorporated under the laws of Hong Kong which holds a money service operator licence issued by the Customs and Excise Department of Hong Kong. References to Hadsund shall include, without limitation, reference to its holding companies, subsidiaries, affiliates, directors, investors and employees.

  "恒新"或"我们"或"我们的"是指恒新国际技术有限公司,一间按照香港法律成立的、持有香港海关发出的金钱服务运营牌照的公司。对恒新的指代应当包括但不限于对其持股公司、子公司、关联公司、董事、投资人和雇员。

• "Hadsund Account" means your online account where you register for Hadsund Services and make ongoing use of the Hadsund Services.

  "恒新账户"指当您注册恒新服务并持续使用恒新服务时，您的网上账户。

• "Hadsund Balance" means the amount of funds shown in your Virtual Account from time to time.

  "恒新余额"指不定期在您的虚拟账户中显示的资金数额。

• "Hadsund Services" means all services provided by Hadsund to you in accordance with schedules 5, 6, 7, 8 and 9 of this Agreement (or any part thereof). For the sake of clarity, Hadsund shall in no event provide any service which is not specified in this Agreement.

  "恒新服务"指根据本协议附件5、6、7、8及9由恒新向您提供的所有服务，或其任何部份。为表意清晰，恒新不会在任何情况下向您提供本协议中没有列明的服务。

• "Hong Kong" means the Hong Kong Special Administrative Region of the People's Republic of China.

  "香港"指中华人民共和国的香港特别行政区。

• "Inbound Payment" means the funds received in the Payment Account from senders.

  "入账付款"指的是支付账户中收到的来自付款人的资金。

• "Inbound Transaction" means transactions which funds are payable by a Platform or other entities from time to time approved by us to the Payment Account.

  "入账交易"指由平台或其他我们不时批准的法律实体将款项支付至支付账户的交易。

• "Outbound Payment" means a payment from the Payment Account to an Approved Payee upon an Outbound Payment Order.

  "出账付款"是指支付账户根据出账付款指令支付给经批准的收款人的付款。

• "Outbound Payment Order" means an instruction to transfer funds to an Approved Payee given by you to Hadsund.

  "出账付款指令"是指您向恒新发出的任何指令，要求将资金转移至经核准收款方。

• "Payment Account" means the account that holds all balances of funds which shall include your Hadsund Balance.

  "支付账户"指的是保有您的恒新余额的账户。

• "Platform" means the online marketplaces from time to time approved by us;

  "平台"指我们不时批准的网上购物平台。

• "PRC Laws" means the laws of People's Republic of China, and for the purpose of this Agreement, shall exclude the laws of Hong Kong, the Macau Special Administrative Region of the People's Republic of China and the Taiwan region.

  "中国法律"指中华人民共和国的法律，但为本协议的目的，不包括中华人民共和国香港特别行政区、中华人民共和国澳门特别行政区及台湾地区的法律。

• "Service Providers" includes banks, payment service providers and clearing networks from time to time used by Hadsund in the course of supplying the Hadsund Services.

  "服务提供商"包括在提供恒新服务的过程中，恒新不时所使用的银行、支付服务提供商和清算网络。

• "Settlement Order" means an instruction to execute a Settlement Transaction given by you to us.

  "结算指令"是指由客户指示恒新执行结算交易的指令。

• "Settlement Transaction" means payment of funds from the Payment Account to the Beneficiary Account pursuant to a Settlement Order.

  "结算交易"是指根据您发出结算指令，资金从支付账户转移到您指定的提现账户。

• "Transaction" refers to (a) a Settlement Transaction; or (b) an Outbound Payment, and where the context permits, include any of them.

  "交易"指的是(a) 结算交易或(b)出账付款，包括语境许可时上述任一交易。

• "Warranties" means the representations and warranties and undertakings set out in paragraph 7 of schedule 3.

  "保证"指附件3第7段中所列的声明与保证。

• "Website" means our website.

  "网站"，指我们的网站。

• "Virtual Account" means the virtual account under the Payment Account assigned to you for Inbound Payment;

  "虚拟账户"是指分配给您用于入账付款的支付账户下的虚拟账户。

• "Virtual Account Credentials" means the Virtual Account credentials (which shall include account bank details, bank account number(s), routing number(s), SWIFT code, IBAN, etc.) provided by Hadsund to you for the purpose of using Hadsund Services.

  "虚拟账户凭证"是指为使用恒新服务而向您提供的虚拟账号凭证（包括银行账户详情、路由号码、IBAN等）。

• Our acceptance to you as Customer

• Authorization of users of the Customer

• You may appoint one or more authorized users to conduct day-to-day business and to give Settlement Order and Outbound Transaction Order to us. You represent and warrant that:

  您可以指定一名或多名授权用户处理日常业务并向我们发出结算指令和出账交易指令。您声明并保证：

• the authorized user must have full capacity for civil conduct in accordance with the Applicable Laws to act on your behalf;

  授权用户必须根据适用法律具备完全民事行为能力代表您行事；

• you shall provide proper authorization to give authority to such authorized user to us upon request;

  您应在请求时向我们提供适当的授权，以授予该授权用户相应的权限；

• you shall be bound by all the acts done by the authorized user; and

  您应对授权用户所进行的所有行为承担责任；及

• you shall ensure that the authorized user shall strictly comply with this Agreement.

  您应确保授权用户严格遵守本协议。

• You further agree that:

  您进一步同意：

• each authorized user has the authority to provide instructions to us for the Hadsund Services on your behalf;

  每位授权用户均有权代表您向我们发出有关恒新服务的指示

• we may rely on the authority of the authorized user until we receive notice from you withdrawing the authority of such authorized user. Any instruction given by such authorized user and accepted by us before your withdrawal shall be valid and you shall be bound by it; and

  我们可依赖授权用户的授权，直至收到您撤回该授权用户授权的通知。在您撤回授权之前，由该授权用户发出且经我们接受的任何指示均视为有效，您应受其约束；及

• we may refuse instructions given by the authorized user if we have concern over the instruction given and we shall notify you of the same from time to time.

  如果我们对授权用户发出的指示存在疑虑，我们可拒绝该指示，并会不时通知您相关情况。

• All Fees shall be charged by Hadsund are displayed in your webpage in the Hadsund Account or by way of a supplementary agreement or a fee letter sent to you by us.

  我们收取的所有费用在您的恒新账户页面展示，或通过补充协议或我们发送给您的费用函进行说明。

• You agree to pay all Fees according to the fee schedule, supplementary agreement or fee letter as aforesaid. We may from time to time adjust the fee at our sole and absolute discretion. After each update, you will be notified by us. You will be deemed to have accepted the revised fee when you continue using the Hadsund Services.

  您同意上述费用列表、补充协议或费用函中的所有费用。我们有权不时调整费用。当我们调整费用时，我们将告知您。当您持续使用恒新服务，将被视为已接受经修订的费用，您同时接收本协议中的通知安排。

• Fees payable by you will be deducted from each Transaction when such Transaction is accepted by us. You hereby authorize and instruct us to so deduct such Fees.

  您所支付的费用将在交易由我们接受时从交易中扣除。您特此授权并指导我们扣除此类费用。

• If currency exchange is involved in settlement of our Fees, such currency exchange shall be subject to the exchange rate set out in schedule 9.

  若对我们费用的结算涉及到货币兑换，该货币兑换将按照附件9所列明的汇率进行。

• You further acknowledge that in the course of any Transaction, there may be bank charges imposed by intermediary banks or financial institutions, and there may be other charges reasonably imposed by any third party. You agree that such charges (if any) shall be borne by you solely and you confirm that may deduct the bank charges and other fees and expenses charged by any Service Provider or third party from the Hadsund Balance.

  您进一步明白，在交易进行过程中，中介银行或金融机构可能收取银行费用，任何第三方亦可能合理收取其他费用。您同意该等费用（如有）应由您全额承担，您确认该银行费用及其他费用及任何服务提供商的费用将在恒新余额中扣除。

• You acknowledge that any fees, cost, charges occurred with respect to the failed transaction(s) for any reasons which is not resulting from Hadsund, including without limit to fees of Hadsund, fees of banks or service providers, shall be borne by you.

  您确认，任何非恒新原因导致的失败交易产生的任何费用、成本,包括但不限于恒新的费用、银行或服务提供商的费用，均由您承担。

• Transaction records

• We will prepare activities in electronic form of your Hadsund Account which will be available when you log in your Hadsund Account portal. You are advised to regularly check to confirm that the records are correct and complete. In case there is any incorrect or incomplete record, you shall report to us immediately in writing and we will conduct investigation and rectification. We shall deem all transaction records are true, accurate and complete if we do not receive any objection from you within 30 days from the date of the said activity.

  有关交易的信息将显示在您登录您的恒新账户后的在线交易记录中。请您对以上信息的准确和完整进行及时的确认。若发现任何错误或不完整的记录，请您立即书面通知我们，我们将进行调查和修正。若我们未能在交易可查阅之日起30天内收到您的反对，我们将视所有相关交易记录为真实、准确和完整。

• Except as required by the Applicable Laws:

  除适用法要求外：

• you shall solely be responsible for compiling and retaining permanent records of all transactions and other data associated with your Hadsund Account and your use of the Hadsund Services;

  您自行负责汇总和保留与您的恒新账户相关的所有交易和其他信息以及您使用恒新服务的永久性记录；

• you shall solely be responsible for checking all payment activity to and from your Hadsund Account to ensure no unauthorized behavior has occurred;

  您自行负责核对所有来自您的恒新账户的收付款活动，确保均已授权；

• we have no obligation to store, retain, report, or otherwise provide any copies of, or access to, any records, documentation or other information in connection with your Hadsund Account or any transactions submitted by you through the Hadsund Services upon termination of the Hadsund Account.

  我们没有义务为客户存储，保留，报告或以其他方式提供与您的恒新账户以及您通过恒新服务提交的任何交易相关的记录、文件或其他信息的任何副本。

• Your representations, warranties and undertaking

  您的声明、保证和承诺

• You represent and warrant that you are not acting on behalf of, or for the benefit of, anyone else, unless in case of a natural person, opening the account for and under the direction of the company or legal person or entity, that employs such a natural person.

  您声明并保证您不代表或为任何其他人的利益行事，除非为自然人所开立公司或法人或法人组织的账户并在其指导下雇佣的自然人。

• You hereby undertake, until termination of this Agreement, to communicate promptly to Hadsund any change in your business ownership, business activities, post mail address, email address, phone contact details or any modification with respect to your account with the Beneficiary Account.

  您特此承诺，直至本协议的期限届满或终止，你将及时通知恒新您公司所有权，业务活动，邮寄地址，电子邮件地址，电话联系方式或与提现账户等方面相关的任何信息变更。

• You hereby represent, warrant and undertake to and with Hadsund (and its successors in title) that each of the following warranties is, as at the date hereof and from the date hereof up to and until termination of this Agreement are, true, accurate and not misleading in all respects:

  您就此向恒新(及其承继者)声明并保证,以下各保证均在本文件日期至本协议终止之日为真实、准确且不误导：

• you are duly incorporated and constituted, and are legally subsisting under the laws of its place of incorporation;

  您已合法成立并设有章程，且在成立地的法律下合法存续；

• this Agreement constitutes valid and legally binding obligations on you and is enforceable against you in accordance with its terms;

  本协议对您构成有效且有法律效力的法律责任，且其条款对您具有法律约束力，并可强制执行；

• all authorizations, consents, licences and approvals required from any governmental or other authority for or in connection with the execution, delivery and performance of this Agreement have been obtained by you;

  您已获取与本协议的签署、送达及履行相关的所有由政府或其他机构颁发的授权、同意、牌照及批准；

• your submission to the non-exclusive jurisdiction of the Hong Kong courts as a party to this Agreement is valid and binding;

  您作为本协议的一方，对香港法院的非排他管辖权的接受为有效且有拘束力；

• you are empowered and duly qualified and has the necessary licences and authorizations to carry on your business in such countries in which it operates;

  您有能力且有资格且有必须的牌照及授权在您的业务所在国开展您的业务；

• you shall duly comply with all Applicable Laws, rules and regulations of Hong Kong and all countries you have operation;

  您应当妥善遵循香港及任何您有经营的国家的所有适用法律、法规与规则；

• in respect of your business:

  就您的业务而言：

• there are requisite corporate powers in respect thereof, all applicable legislations, rules and regulations have been complied with and observed, and there has been no breach or contravention of the same;

  您具有所需的企业法人能力，已留意并遵循所有适用法律、法规及规则且并无违反；

• all qualifications, registrations, licences, know-how or other approvals necessary for the proper conduct of your business have been obtained and maintained and no event or omission has occurred whereby any of the same or the renewal thereof is or is likely to be thereby adversely affected, suspended or revoked;

  为妥善经营您的业务，所有所需的资格、注册、牌照、技能或批准均已获得并正在持有，无任何事件或疏漏或类似情况发生使得或有可能使得其受到负面影响、被暂停或吊销；

• all qualifications, registrations, licences and other approvals may continue to be carried on and held by you up to and until the date of termination of this Agreement; and

  截至本协议的终止之日，所有资格、登记、注册、牌照或批准持续生效并为您所持有；

• the carrying on of which in no way contravenes or infringes any third party right including, without limitation, patents, industrial designs, copyrights and trademarks and other intellectual property rights.

  上述资格、注册、牌照或批准的持续生效并持有不以任何方式侵犯或违反任何第三方权益，包括但不限于专利、工业设计、著作权、商标及其他知识产权。

• You acknowledge and accept that we are entering into this Agreement in reliance of each of the warranties and the provisions contained therein.

  您明白并接受，我们依赖本处所包含的保证及条款而签订本协议。

• You undertake with us that you shall promptly disclose in writing to us any event or circumstance which may arise or become known to you at any time which is inconsistent with any of the warranties herein or which would have constituted a breach of the warranties herein.

  您向我们保证，您将及时以书面方式向我们披露任何可能发生或您所知晓的、与本处所包含的保证不一致的或可能构成对保证的违反的事件或情况。

• You undertake with us that in connection with your use of Hadsund Services, you shall in no event:

  您向我们承诺，就与您使用恒新服务相关，您在任何情况下均不得：

• commit any breach of this Agreement, our Privacy Policy, any other agreements and any amendments thereto that apply to you;

  违反本协议、我们的隐私政策、任何其他适用的协议及其修订；

• violate any of the Applicable Laws and any laws or regulations of the countries or regions where you are subject to;

  违反任何您受管辖的国家和地区的适用法、任何法律或法规；

• engage in any unlawful business or activity;

  介入任何非法业务或活动；

• infringe or misappropriate the intellectual property rights or rights of publicity or privacy of us or any third party;

  侵犯或滥用我们或其他第三方的知识产权、公开权或隐私权。

• sell counterfeit goods;

  出售仿造品；

• provide false, inaccurate or misleading information to us or to any other party;

  向我们或其他任何各方提供错误、不准确或误导的信息；

• refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us; or

  拒绝就您的身份或您提供给我们的信息配合调查或提供确认；

• send or receive funds that Hadsund reasonably believes to be potentially involve in money laundering, terrorist financing or other illegal activities.

  发送或接收恒新合理相信有可能涉及洗钱、恐怖主义融资或其他非法活动的资金。

• Security use of Hadsund Services

  恒新服务的安全使用

• You shall adequately protect your Hadsund Account against any loss, theft, misappropriation or unauthorized use of your Hadsund Account and Virtual Account by safeguarding all IDs, passwords, and Virtual Account Credentials, as well as your computer, mobile phone or other device. In particular, you shall keep all the anti-virus software updated in order to safeguard the access to the Hadsund Account error and virus free.

  您应当通过保障您的ID，密码，虚拟账户凭证及您的计算机、手机或其他设备，充分保护您的虚拟账户不受到损失、窃取、滥用或未经授权的使用。特别地，您应当及时更新所有反病毒软件，以便拦截对恒新账户的错误及病毒的任意访问。

• You must contact our Customer Support immediately if any of following has occurred or has suspicion that any of the following has occurred:

  如果下列情形发生或您怀疑其已发生，您必须马上联络我们的客户服务部门：

• you become aware of any loss, theft, misappropriation or unauthorized use of your Hadsund Account; or

  您留意到您的恒新账户遭受任何损失、窃取、滥用或未经授权的使用；或

• you become aware of any unauthorized or erroneous Transaction no later than three (3) months after the debit/credit date.

  您留意到任何不迟于出账/入账日期后三(3)个月内的未经授权的或错误的结算指令或交易。

• Indemnity

  弥偿

• You shall indemnify us for and keep us fully and effectively indemnified against:

  您应就下列事项向我们作出弥偿，并保证我们全额及有效地获得弥偿：

• all direct and indirect Damages (including, without limitation, accounting, legal and other professional advisors' fees) incurred by us on an indemnity basis in connection with any breach of this Agreement by you and/or our enforcement thereof; or

  任何我们对本协议的违反及/或我们的强制履行相关的直接或间接的损失（包括但不限于财务、法律及其他职业顾问的费用），以弥偿基准计算；或

• any claim, proceeding, Damages (including, without limitation, accounting, legal and other professional advisors' fees) that may arise to be incurred by Hadsund in connection with the provision of any of the Hadsund Services, whether or not arising from or in connection with your improper use of such Services or any Damages to Hadsund or its assets, computer hardware, devices, facilities or software) as a result of performing such Services.

  任何恒新遭受的、与任何恒新服务的提供相关的诉讼、法律程序或损失（包括但不限于财务、法律及其他职业顾问的费用），不论是否由您对该等服务的不当使用引致或与之相关，或任何恒新（或其财产、计算机硬件、设备、设施或软件）所受的损失。

• Paragraph (a) shall not be applicable if such Damages are caused by our wilful default or gross negligence.

  上述(a)条不适用于该等损失是由恒新的故意违约或严重疏忽所致的情况。

• Disclaimer

  责任限制

• We shall in no event be required to provide any service other than the Hadsund Services and shall in no event be responsible for any service other than the Hadsund Services. In particular, we do not, and shall in no event be deemed to, provide any tax or legal advice to you. You are advised to consult your own legal, tax and other professional advisors for such advice.

• You hereby acknowledge that we are not a bank or a credit institution and we do not offer the features and benefits of a bank account. Moreover, we do not pay interest or any accrual benefits to you on funds held in the Payment Account.

  您明白我们并非一个银行或信贷机构，恒新服务也不提供银行账户特有的功能及用途。此外，我们并不对您在我们的支付账户中资金支付利息或任何累计收益。

• We make no representations and give no warranties whatsoever and disclaims all obligations, representations or warranties whatsoever arising by operation of law, implication or otherwise, in respect of the Hadsund Services, its title, accuracy, completeness or standard and fitness for a particular purpose.

  我们从未作出任何陈述或保证，并就恒新服务、其拥有权、准确性、完整性、标准性及对某一特定目的的适用性而言免责于所有因法律运作、责任、表示或保证所产生的责任、陈述或保证。

• We shall in no event be liable with respect to any subject matter of this Agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute services; (iii) interruption of use or loss or corruption of data; or (iv) any amount that exceeds the Fees paid by you to us under this Agreement during the twelve (12) month period immediately preceding the cause of action. We shall in no event be liable for any failure or delay due to matters beyond our reasonable control.

• Settlement Orders and Outbound Payment Orders can only be executed if they comply with regulatory standards from time to time implemented by us. We shall in no event be liable for any damages which could result from the non-execution or defective execution of a Settlement Order or an Outbound Payment Order where such non-execution or defective execution is caused by incorrect, inaccurate or incomplete information provided by you.

• You acknowledge that we may provide the Hadsund Services using facilities provided by the Service Providers. You further acknowledge that, subject to schedule 8, you have no commercial agreement with any Service Provider and you shall in no event contact any Service Provider without our consent in writing.

• We shall not be liable for any underlying sales transactions between either you or a Buyer. It is your responsibility to ensure that you only make payments to or receive payments from persons or entities related to commercial transactions in compliance with your applicable legal obligations. We have no influence on the underlying process of buying or selling goods, and no legal relationship with the Platform or Buyers, and we shall in no event be liable to or in respect of any Buyer or Platform or for the underlying products and/or services being sold or bought, nor for the correct completion of any sale or purchase of goods or services. You assume exclusive responsibility for your product and your obligations to Buyers and Platforms, and shall indemnify and hold Hadsund harmless from any claim by any of them against Hadsund. The sale of counterfeit goods or goods breaching intellectual property rights may also lead to legal action by rights holders and a potential loss of funds. If you are in doubt as to the legality of a transaction you should not continue with your payment.

• You are solely responsible for reporting to all applicable government tax authorities all funds underlying your use of the Hadsund Services and for the payment of any applicable taxes that apply to such payments as well as any other applicable reporting requirements including, without limitation, any customs or foreign currency controls. Upon our request, you shall provide all documents relating to tax reporting for our review and verification.

  您应完全负责向相关的政府税务机关报告所有使用恒新服务的资金，并支付适用于此类付款的任何相关税款以及履行任何其他相关的报告要求，包括但不限于任何海关或外汇管制。在我们的要求下，您应将所有税务申报的相关文件提供给我们，以便我们查阅及核实。

• Termination and Suspension

• We may terminate your Hadsund Account or Virtual Account forthwith without compensation if any of the following happens:

• any complaint is received by us in respect of any of your Transactions which may involve fraud, deception or other violation of the Applicable Laws in our opinion;

• you are declared bankrupt or being wound up;

• no Transactions are made by you for a consecutive period of twelve (12) months;

• we are no longer capable to provide the Hadsund Services for any reason whatsoever; and

• either party becomes subject to any investigation by a regulatory authority.

• We may, at any time, suspend or terminate your Hadsund Account and/or Virtual Account at our sole and absolute discretion without giving any reason whatsoever.

• We may at any time suspend, terminate or otherwise cancel provision of the Hadsund Services under this Agreement to you forthwith without giving any reason whatsoever.

• You may terminate this Agreement by giving not less than 3 months' written notice to Hadsund. The provisions of this Agreement relating to ownership provisions, warranty disclaimers, indemnity and limitations of liability shall survive termination of this Agreement.

• When your Hadsund Account and/or Virtual Account is suspended or terminated, any further attempted use of the Hadsund Services will result in your funds being rejected and returned, and we may issue notification to appropriate authorities. You shall solely be responsible for Fees incurred in connection with the rejected payments.

• Your Hadsund Account and/or Virtual Account is deemed to be inactive if it has no Transactions during a period of twelve (12) consecutive months. Two (2) weeks prior to reaching inactive status, we may send you an initial notification to your email address on our records to request action, provide options for keeping your account active, and inform you of the consequences of not responding. If you do not respond to our initial notice within two (2) weeks, we will suspend your Hadsund Account and/or Virtual Account. Fees may be charged for such Hadsund Account and/or Virtual Account re-opening procedure

• Each party acknowledges that by reason of its relationship with the other party hereunder, it will have access to certain information and materials concerning the Hadsund Services which are confidential and of substantial value to the other party. Each party agrees that it shall not use and that it shall use all reasonable endeavours to ensure and procure its directors (if any), officers, employees, agents, contractors or sub-contractors (collectively the "Subordinates") not to use in any way for its or his own account, or the account of any third party, nor disclose to any third party, any such information revealed to it or to such Subordinate by the other party. Each party shall:

• The obligation under paragraph (a) shall not apply to a party in respect of the information which is generally available in the public domain otherwise than by breach of paragraph (a) by that party or in the event that party is ordered to make disclosure by any authority or court of competent jurisdiction.

• The obligations of the party under this paragraph (a) shall survive termination of this Agreement.

• Anti-bribery

• You hereby represent and warrant that that none of your officers, principals and directors, and that none of your personnel (whether employees or not) (i) have ever been convicted of any crime, except those persons and their crimes disclosed to us in writing prior to entering into this Agreement; and (ii) has ever been charged with or convicted of (or pleaded guilty or no contest to) any crime relating to fraud, embezzlement, theft, money laundering, financing terrorism or terrorist organizations, trafficking, receiving stolen property, or illegal drugs or other controlled substances. You undertake to inform us in writing within 24 hours in the event of any act, omission or development which would or could have an adverse impact on you with respect to any of the above, and failure to do so shall constitute a material breach of this Agreement.

• You shall not directly or indirectly make, offer, promise or receive, and shall not authorize any third party, to make, offer, promise or receive, any bribes, gifts or other improper payments (including disproportionate corporate hospitality) to, for or from any individual, company or government authority or official (including any candidate for political office, any political party, and any official of a party) to induce the authority or official to act or to grant any permission, license or approval, or to induce the individual or company to take any improper action, in connection with this Agreement or the Hadsund Services. You shall be responsible that none of your employees, directors or representatives or agents makes, solicits, accepts or receives any bribes, gifts or other improper payments relating to this Agreement and the Hadsund Services. In addition, no payment shall be made to anyone for any reason on behalf of or for the benefit of us which is not properly and accurately recorded in your books and records, including amount, purpose and recipient, all of which shall be maintained with supporting documentation.

  您不得直接或间接地向任何个人、公司或政府机构或官员（包括任何政治候选人、任何政党及其官员）提供、承诺、接受或收受任何贿赂、礼物或其他不当支付（包括不成比例的企业款待），也不得授权任何第三方进行上述行为，以诱使该机构或官员采取行动或授予任何许可、执照或批准，或诱使任何人或公司采取任何不当行动，涉及本协议或恒新服务。您应当确保您的员工、董事、代表或代理人不得就本协议及恒新服务提供、索取、接受或收受任何贿赂、礼物或其他不当支付。此外，任何支付不得以我们的名义或利益为理由，向任何人支付任何未在您的账簿和记录中正确准确地记录的款项，包括金额、用途和收款人，所有款项都应附有相应的证明文件。

• Force Majeure

• Neither party shall be liable for non-performance or delay in performance of any obligation stipulated in this Agreement if such non-performance or delay is caused by Force Majeure. “Force Majeure” shall include any fires, floods, or earthquakes; any order, regulation or written directive of any governmental body, department or organization which has jurisdiction over the activities of the parties, whether promulgated in the form of law or otherwise; any insurrection, riot, war, hostility, public disturbance, strike, network failure, intervention of SWIFT or other international remittance network or other labour disturbance; or any other cause beyond the reasonable control of the affected party.

  若因不可抗力导致任何一方未能履行或延迟履行本协议项下的任何义务，则任何一方均不需承担责任。“不可抗力”包括但不限于火灾、洪水、地震；任何具有管辖权的政府机构、部门或组织发布的命令、法规或书面指令，无论其以法律形式颁布与否；任何暴动、骚乱、战争、敌对行为、公共骚乱、罢工、网络故障、环球同业银行金融电讯协会或其他国际支付网络的干预，或其他劳工纠纷；以及任何受影响方合理控制范围之外的其他原因。

• The party affected shall inform the non-affected party immediately in writing of the beginning and end of the circumstances of Force Majeure and the obstacles to the timely fulfillment of this Agreement. When an event of Force Majeure is of such nature (i) that the objectives of this Agreement are substantially impaired, or (ii) that a party's performance is impaired for more than 3 months, in either case the party whose performance has not been affected by the event of Force Majeure shall have the right to terminate this Agreement with immediate effect upon written notice to the other party, without any of the parties thereby incurring any liability to the other.

• Any service by email, fax, letter or otherwise written form through the above contact specified shall be constitute a legal and effective service.

• Rights of third parties

• The parties hereto do not intend that any term of this Agreement shall be enforceable by any person who is not a party to this Agreement and the right of the parties to terminate, rescind or agree any variation, waiver or settlement under this Agreement is not subject to the consent of any person that is not a party to this Agreement.

  本协议的各方无意使本协议中的任何条款对任何非本协议的任何人士强制执行，本协议的各方根据本协议终止、撤销或同意任何变更、放弃或和解的权利，无需取得任何非本协议的任何人士的同意。

• A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Ordinance (Chapter 623 of the Laws of Hong Kong) to enforce or to enjoy the benefit of any term of this Agreement.

• Miscellaneous

• We reserve the right to offset from any settlement to you any amounts owed to us by you, including, without limitation, all Fees, charges and expenses of any Service Provider and all other fees payable under this Agreement.

• We may be required by the government to withhold, freeze, or release to the government, another person or entity some or all of your Hadsund Balance pursuant to notice of a court order, regulatory action or other equivalent government process. To the extent permitted by law, we will notify you of these actions. We shall be entitled to determine the action to take in response to such notice. We shall in no event be under any obligation to contest or appeal such court order, regulatory action, or other equivalent government process.

• You may not assign or transfer any of its obligations or rights under this Agreement. We may at any time assign to any person all or any of our obligations and rights under this Agreement by notice to you.

• We may from time to time amend, supplement or update this Agreement at our sole and absolute discretion. Such amendments, supplements and updates shall be effective by publication on the Website or by giving notice to you. If the revision is not acceptable to you, your only recourse is to terminate this Agreement.

• No failure or delay by a party to exercise any right under this Agreement or otherwise shall operate as a waiver of that right or any other right nor shall any single or partial exercise of any such right preclude any other or further exercise of that right or the exercise of any other right.

• We may exercise a power, remedy or right under this Agreement at our sole and absolute discretion and concurrently or separately with another power, remedy or right. A single or partial exercise of a power, remedy or right by us under this Agreement does not prevent a further exercise of it or an exercise of any other power, remedy or right. The powers, remedies and rights provided in this Agreement are cumulative and not exclusive of any power, remedy or right provided by law.

• Nothing in this Agreement shall be deemed to constitute a partnership between you and us.

• The parties shall do and execute or procure to be done and executed all such further acts, deeds, documents and things as may be necessary to give full effect to the terms and intent of this Agreement.

• If at any time any one or more provisions of this Agreement is or becomes invalid, illegal, unenforceable or incapable of performance in any respect, the validity, legality, enforceability or performance of the remaining provisions of this Agreement shall not thereby in any way be affected or impaired.

• This Agreement, together with the Privacy Policy and statements, guidelines, directives or similar documents which may form part of this Agreement, contain the entire agreement between the parties with respect to the subject matter hereof, supersedes all previous agreements, representations and understandings between the parties with respect thereto, and may not be modified except in writing signed by the duly authorized representatives of the parties.

• The Hadsund Services are solely intended to enable Transactions for business/commercial related activities only but NOT for personal use. That being said, person-to-person transmission of funds shall be expressly excluded in the Hadsund Services. Therefore, you warrant to us that your use of the Hadsund Services shall be for your own business, trade or profession but not for any other purpose. You hereby undertake with us that you shall in no event use the Hadsund Services as a Consumer;

• you must have the full legal capacity to enter into this Agreement. If you register for the Hadsund Services on behalf of a business or commercial entity, you warrant that you are legally authorized under the business entity's formation documents and/or under the laws of your home country to agree to this Agreement;

• you must use Hadsund Services to transact on your own behalf and not on behalf of any other person or business entity, except in cases where you have obtained our approval in writing; and

• you must promptly update your registration information with us to ensure that such information is true, accurate and complete at all times.

• Know Your Customer

• Your use of Hadsund Services shall be subject to Hadsund's Know Your Customer ("KYC") and approval process. After registration of the Hadsund Account, we may request information and/or documents from you including, without limitation, information on your identity, your scope of business, and the shareholders and directors of the business registering for a Hadsund Account. We may, at our sole and absolute discretion, request you to provide further information relating to your business activities and require you to arrange for site inspection for checking and verification purposes. We may also obtain information from third party intermediaries or databases in the approval process. We may, from time to time, through routine check or otherwise, request for further information from you. You agree to comply with all such request within three (3) business days from the date of request. Failure to provide such requested information may result in our rejection to your application for Hadsund Account or suspension of your use of the Hadsund Services.

  您使用恒新服务须通过恒新的"了解您的客户"（"KYC"）和注册时的批准程序。注册恒新账户后，我们有权要求您提供（包括但不限于）您的身份信息、业务范围信息、以及登记恒新账户业务的股东和董事信息。恒新可以行使绝对酌情权，采取必要的手段检查和验证您提供的信息，包括要求您提供关于业务的进一步信息、要求您安排到场检查，通过使用第三方中介或信息库以验证您的身份。我们可能不时通过例行检查或其他方式要求您提供进一步的信息。您同意在三（3）个工作日内向我们提供我们要求的任何信息。未能提供此类要求的信息可能导致我们拒绝您的恒新账户的申请，或暂停您的恒新服务。

• For the purpose of opening a Hadsund Account, you will need to provide us with documents/information from time to time requested by us. Details of such documents/information required will be on a case-by-case basis.

  为开设恒新账户，您需要向我们提供我们不时要求的文件/信息。具体的文件/信息要求将按个别个案列明。

• You will normally receive our feedback within 14 days from the date of submission of papers. Though we are very keen to serve you and provide you with the Hadsund Services, we do not guarantee that each application will be successful.

  您通常会在提交文件之日起14天内收到我们的反馈。尽管我们非常希望为您提供恒新服务，但我们不保证每份申请都能成功。

• Upon your successful application for use of the Hadsund Services, you shall provide the following information to us:

• The Hadsund Services you intend to use;

• Your Beneficiary Account details (see paragraphs 6 and 7 below); and

• details of the accounts of the Approved Payees (if any).

• With respect to Beneficiary Account details:

• you must provide information about the Beneficiary Account to us for pre-approval. You shall follow the instructions from time to time implemented by us for approval of any Beneficiary Account. You should ensure that your Beneficiary Account information is accurate and complete. In the event that the payment is rejected due to inaccurate Beneficiary Account information provided by you, you shall be responsible for relevant fees and expenses charged by the Service Providers and our administrative costs. We may directly deduct such fees from your Hadsund Balance. In case of any inaccurate or misdirected payment, we shall at your costs assist you with tracing and, if reasonably feasible, recovering such payments, but we take no liability to do so.

• Settlement Transaction can only be conducted through approved Beneficiary Account;

• The Beneficiary Account must be in good standing and able to receive funds. If the Beneficiary Account is not in good standing, fund transfers by Hadsund to the Beneficiary Account may be rejected. For any rejected transaction, you shall be responsible for relevant fees and expenses charged by the Service Providers and our administrative costs;

  您必须确保您的提现账户状况良好并能够接收资金。如果提现账户状况不良，由恒新向提现账户的转账可能受到拒绝。对于任何被拒绝交易，您应负责服务提供商收取的相关费用及我们的手续费。

• We may from time to time conduct review of any Beneficiary Account. You shall co-operate fully with such review and provide documents requested by us within three (3) business days from the date of request. We may revoke our approval of or suspend any Beneficiary Account at any time without giving reasons thereto at our sole and absolute discretion.

  我们可能不时审查任何提现账户。您应配合此审查，并于三(3)个工作日内向我们提供我们要求的文件。我们可能依绝对酌情权、在不提供原因的情况下收回我们的批准，或在任何时候暂停任何提现账户。

• You may at any time request us to update the Beneficiary Account details by the instructions from time to time implemented by us. If we are satisfied with the update at our sole and absolute discretion, we shall approve such update.

  您可以于任何时间按我们指示的方式要求我们更新提现账户详情。如果我们依绝对酌情权认可该更新，我们将批准该更新。

• Generally the Beneficiary Account should be a bank account held by you in a licensed bank. We may, at our sole and absolute discretion, allow you to use other accounts to be the Beneficiary Account subject to the conditions that:

  一般而言，提现账户应为您在持牌银行持有的银行账户。我们可全权酌情决定允许您使用其他账户作为提现账户，但须遵守以下条件：

• the account holder of such account must be a director, legal representative or shareholder of you;

• you give us an authority to deliver funds to such account and the account holder of such account shall give valid receipt of the funds for and on your behalf; and

  您授权我们向该账户汇款，且该账户的账户持有人应代表您出具有效的收款收据；及

• you will provide us with all documents requested by us to confirm the ownership of the Beneficiary Account and the relationship between you and the account holder of such account.

  您须向我们提供我们要求的所有文件，以确认提现账户的所有权以及您与该账户持有人之间的关系。

• Upon your successful application for use of the Hadsund Services, you may use the Virtual Account provided by us. This schedule shall only be applicable if you use the Virtual Account.

  在您成功申请使用恒新服务后，您可以使用我们提供的虚拟账户。本附件仅适用于您使用虚拟账户的情况。

• If you choose to use the Virtual Account provided by us for Inbound Transaction or otherwise, you shall make a request to us through the Website. We may conduct further KYC against you at our sole and absolute discretion.

  若您选择使用我们提供的虚拟账户进行入账交易或其他用途，您应通过我们的网站向我们提出请求。我们可以自行决定对您进行进一步的合规审查。

• Upon our approval of your use of the Virtual Account under the Hadsund Services, we will assign one Virtual Account Credential to you or will assign one or more additional Virtual Account Credential(s) to you upon your application and our approval which shall consist of the following:

  在我们批准您使用恒新服务下的虚拟账户后，我们将向您分配一个或基于您的申请，经我们核准后向您额外分配一个或多个虚拟账户凭证，该凭证将包括以下内容：

• an account number specifically assigned to you under your name;

• You are reminded that the Virtual Account shall only be used for the Hadsund Services provided to you and you shall in no event allow any third party to use the Virtual Account for any other purpose.

• You shall provide Virtual Account Credentials accurately in order for us to properly receive and transfer funds on your behalf.

• You shall keep the Virtual Account Credentials safe and secure and must not disclose your Virtual Account Credentials to any third party save for remittance purpose. You are not permitted to authorize any third party to access or use your Virtual Account and you shall be fully responsible for all activities conducted by such party.

• You hereby acknowledge and confirm that your right to use the Virtual Account to which the Virtual Account Credentials refers is limited and non-transferrable as it is granted by Hadsund and you must in no event represent to any third party that you have the ownership of the Virtual Account. Funds transferred to the Virutal Account are legally and beneficially owned by Hadsund until they are transferred to the Beneficiary Account designated by you or pursuant to an Outbound Payment Order.

  您明白及确认，您对虚拟账户凭证所指虚拟账户的使用权由恒新授予，且该权利有限且不可转让。您在任何情况下不得向任何第三方表明您拥有该虚拟账户的所有权。转入虚拟账户的资金在转入您指定的提现账户或根据出账付款指令转入之前，法律上和实际利益上均归恒新所有。

• Upon your successful application for use of the Hadsund Services, you may use the Inbound Transactions services provided by us. This schedule shall only be applicable if you use the aforesaid services.

  您成功申请使用恒新服务后，即可使用我们提供的入账交易服务。本附件仅在您使用上述服务时适用。

• We shall process a Transaction that we consider, at our sole and absolute discretion, to be properly sourced and authorized. You agree and accept that Hadsund may, at any time, reject, suspend or limit payments at our sole discretion, or suspend or terminate access to the Hadsund Services, without assigning reasons thereto. You are informed that a Transaction carried out within the framework of this Agreement may be subject to disclosure requirements under the Applicable Laws. You may, in accordance with the Applicable Laws, access all of the information disclosed, provided this right to access does not undermine the purpose of the fight against money laundering or terrorist financing, where this data concerns you. No prosecutions or civil liability actions can be brought or any professional sanction taken against us, our managers or employees who have reported their suspicions in good faith to the relevant authorities.

  我们只会处理我们按我们单独及绝对酌情权认为已合适地追溯及已获合法授权的支付交易。您同意并接受我们可能不时行使绝对酌情权，在不提供理由的情况下拒绝、暂停或限制您使用支付，或暂停或终止您使用恒新服务。您被特此告知，在本协议框架下进行的支付交易可能受到适用法的披露要求的限制。若信息与您有关，只要该访问权不与反洗钱或反恐怖主义融资的目的相违背，您可以在符合适用法的情形下访问所有的披露信息。若我们、我们的管理者或职员已善意地将其怀疑报告给有关机构，不可向他们提起刑事指控、民事诉讼或职业处罚。

• We will only accept funds via wire transfer networks or other modes of transfer provided by banks for all Transactions. We do not support cash, credit card payments or checks for all Transactions.

  我们仅接受通过电传转账或其他银行提供的方式汇入的款项进行所有交易，而所有交易均不接受现金、信用卡或支票支付。

• We only allow the Platforms or other parties from time to time approved by us to make payments to the Payment Account for the purposes of the Hadsund Services and will charge you administrative fees for making the Inbound Payment. Payments otherwise than the above made to the Payment Account may be rejected and Hadsund shall, at its sole and absolute discretion, refund such payments to the bank accounts from which such funds are remitted. All costs and expenses and all our administrative costs associated thereto shall be borne by you on an indemnity basis.

• You shall keep records and underlying documentation for each Inbound Transactions. We may from time to time request you to provide such underlying documentation and proof for the purpose of verifying the Inbound Transactions and you shall provide such requested documentation and proof within three (3) Business Days from the date on which the request is made. We may also request third parties related to the Inbound Transactions to provide evidence to verify such transactions and you shall give all necessary assistance to us to fulfill such requests. Failure to provide such requested documentation and proof may result in our suspension of your Hadsund Account, your Virtual Account and/or your use of the Hadsund Services. We may charge you administrative costs for reopening the suspended Hadsund Account and/or your Virtual Account.

  您应妥善保管每次入账交易的记录及基础文件。我们可能不时要求您提供此类基础文件和证明以核实入账交易，您应在该要求作出之日起三(3)个工作日内提供所要求的文件和证明。我们也可能要求入账交易相关的第三方提供证据以核实该交易，而您应向我们提供所有必要的帮助以满足我们的要求。未能提供该要求的文件和证据可能导致我们暂停您的恒新账户、您的虚拟账户及/或您对恒新服务的使用。我们可能对恒新账户及/或您的虚拟账户的重新开启向您收取手续费。

• The currency for the Inbound Transaction shall be determined by the payer from time to time but we reserve the rights to convert the currencies if we do not have bank account to hold such currency. In case there is any foreign exchange transaction, we will advise you on the applicable exchange rate beforehand if the context permits. All currency exchange transactions shall follow the terms of schedule 9.

  入账交易的使用货币应由付款方不时确定，唯我们保留权利在我们没有该等货币的银行账户时转换相关货币。针对外汇交易的情况，如情形许可，我们将提前告知适用兑换汇率。所有货币兑换交易应遵循附件9。

• You acknowledge that we have no control over the timing for the Inbound Transactions and for the funds to reach the Payment Account. You may contact the payer to check the status of funds at any time before it reaches the Payment Account. Upon your request, we may at your costs conduct investigation on the flow of any fund under any Inbound Transaction. However, you understand and acknowledge that any issue or dispute between you and the payer shall be resolved by you.

  您明白我们并不掌握入账交易的时间点和将汇入支付账户的资金。您可在资金汇入支付账户前的任何时间联系付款方，查询资金的状况。据您的请求，我们可就任何入账交易的资金流展开调查，费用由您承担。然而，您了解并明白，任何您与付款方之间的问题或纠纷应当由您自行解决。

• We shall use commercially reasonable effort to inform you upon receipt of the funds through an Inbound Transaction which may set out the Hadsund Balance within 2 Business Days but you acknowledge that there is no guarantee of this timeline.

  我们将以商业上的合理尽力，在接收到可能列明了恒新余额的入账交易所得资金的两(2)个工作日内告知您，但您明白我们无法保证此时间安排。

• As per the request of the payer or any Service Provider, or if we consider it necessary at our sole and absolute discretion, we may provide such payer or Service Provider a receipt on your behalf without notice. You hereby authorize us to provide such receipt together with documents relating to the relationship between you and us or relating to such Inbound Transaction as from time to time requested by such payer or Service Provider to such payer or Service Provider.

• We may charge a Fee on receiving funds in each Inbound Transaction. You acknowledge that the Fees will be deducted from (i) the funds disbursed to the Payment Account; or (ii) the Hadsund Balance at the time on which the funds are deposited into the Payment Account through your Virtual Account. You further confirm that we may deduct the bank charges and other fees and expenses charged by any Service Provider or third party from the Hadsund Balance.

  我们可能就每一笔入账交易的资金接收收取费用。您明白，费用将从(i)存入支付账户的资金;或(ii)资金经由您的虚拟账户存入支付账户时的恒新余额中扣除。您进一步确认，我们可能从恒新余额中扣减银行费用及其他收费，以及任何服务提供商收取的费用。

• You may only receive funds in the Beneficiary Account approved by Hadsund. Such Beneficiary Account shall be under your name and shall be approved by us. We may refuse to carry out any Settlement Order if the Beneficiary Account is not properly approved by us.

  您只能从恒新核准的提现账户中收取资金。该提现账户应当在您的名下设立并由我们核准。若提现账户没有通过核准，我们可能会拒绝执行任何结算指令。

• At any time when your Hadsund Balance is positive, you may submit a Settlement Order to instruct Hadsund to transfer part or all of the Hadsund Balance to your Beneficiary Account. You acknowledge that the Fees will be deducted from the settlement amount directly or the Hadsund Balance before any such Transaction. The Settlement Order shall be in a form specified by us and shall include the following information:

  在您的恒新余额为正数的任何时间，您可以提交一个结算指令，要求恒新将您的全部或部分恒新余额转入您的提现账户。您明白，在该等交易进行前，费用将由结算金额或恒新余额中直接扣除。结算指令应当以我们指定的格式作出并包括以下信息：

  • the amount requested in the currency in the Hadsund Account or in the currency requested by you from time to time; and

  • valid Beneficiary Account details.

• Any Settlement Order issued by you and accepted by us shall be irrevocable. We shall act in accordance with the Settlement Order if such Settlement Order is acceptable to us.

  任何您发出的且由我们接收的结算指令均为不可撤销。若该等结算指令为我们所接受，我们将依结算指令行事。

• If the Settlement Order is acceptable to us, we will initiate a Settlement Transaction in accordance with such Settlement Order. You acknowledge that the Fees will be deducted from the settlement amount or the Hadsund Balance before any such Transaction. You further confirm that we may deduct the bank charges and other fees and expenses charged by any Service Provider or third party from the Hadsund Balance or settlement amount as stipulated in the Settlement Transaction.

  若该等结算指令为我们所接受，我们将依该等结算指令启动结算交易。您明白，费用将在该等交易进行前，由结算金额或恒新余额中扣除。您进一步确认，我们有权由结算交易所规定的结算金额或恒新余额中扣除银行费用及其他费用以及任何服务提供商或第三方要求的费用。

• For the sake of illustration only, the Settlement Order received by Hadsund will usually be processed within 1 to 3 Business Days or on the day specified by you at the currency exchange rate as detailed in schedule 9 below. You acknowledge and confirm that the timeline may be adjusted due to circumstances and the time frame specified in this paragraph shall in no event be seen as an obligation on the part of Hadsund.

• Notwithstanding any provision in this Agreement, in the event that (a) we have accepted any Settlement Order or any other order for remittance or currency exchange pursuant to your instructions and (b) you subsequently cancelled such order or circumstances arisen to the effect that we are unable to perform such order (otherwise than circumstances caused by us), you shall indemnify Hadsund for and keep Hadsund fully and effectively indemnified against all losses, damages, costs (including, without limitation, reasonable professional fees) and expenses incurred or suffered by Hadsund as a result of such inability to perform such order.

  不论本协议的任何条文，若(a)我们已接受任何您给予的结算指令或出账付款指令或任何其他汇款或货币兑换指令及(b)您及后取消该指令或客观情况发生变化致使我们不能履行该指令(因我们造成的情况除外)，您应就我们因未能履行该指令而造成或衍生的损失、损害、费用(包括合理的专业人士费用)及支出向我们作出弥偿，并保证我们全额及有效地获得弥偿。

• In the unlikely event that we have paid you an amount larger than the Hadsund Balance immediately before the Settlement Order for any reason whatsoever, you acknowledge and confirm that we may issue a request to you at any time thereafter for refund of the amount overpaid. You shall make such refund within 2 Business Days from the date of our request.

  若发生我们在结算指令之前出于任何原因向获批准收款人支付的金额超过了恒新余额的不寻常状况，您明白及确认我们可以在此后随时向您发出请求，要求您将多支付的金额返还给我们。您应于我们发出请求之日起2个工作日内支付该款项。

• You acknowledge that we are not a bank or stored value facilities licensee and that we are not able to hold your funds for an indefinite period of time.

• Upon your successful application for use of the Hadsund Services, you may use the Outbound Transactions services provided by us. This schedule shall only be applicable if you use the aforesaid services.

  您成功申请使用恒新服务后，即可使用我们提供的出账交易服务。本附件仅在您使用上述服务时适用。

• We shall process a Transaction that we consider, at our sole and absolute discretion, to be properly sourced and authorized. You agree and accept that Hadsund may, at any time, reject, suspend or limit payments at our sole discretion, or suspend or terminate access to a Hadsund Account, without assigning reasons thereto. You are informed that a Transaction carried out within the framework of this Agreement may be subject to disclosure requirements under the Applicable Laws. You may, in accordance with the Applicable Laws, access all of the information disclosed, provided this right to access does not undermine the purpose of the fight against money laundering or terrorist financing, where this data concerns you. • We will only accept or send funds via wire transfer networks or other modes of transfer provided by banks for all Transactions. We do not support cash, credit card payments or checks for all Transactions.

• If you wish to conduct any Outbound Payment, you shall issue an Outbound Payment Order to us which must contain the following information:

• the amount and currency under which the Outbound Payment Order is to be executed;

  出账付款指令的金额和币种；

• the name of the relevant Approved Payee;

• the bank account's details of the relevant Approved Payee; and

• any other information as from time to time be required by us to proceed with the Outbound Payment Order.

• We may request you to provide KYC information on the Approved Payee and the transactional information and documents for proof of such transactions from time to time and you shall within three (3) Business Days from the date of request provide such information and documents before or after execution of Outbound Payments at our sole and absolute discretion. We may suspend provision of any Outbound Payment before we are satisfied with the information provided.

• We reserve the right to refuse to process any Outbound Payment Order without assigning reasons thereto.

• We will only consider acceptance of any Outbound Payment Order at the time when we actually received such order from you. If such order is received after the cut-off time on any Business Day (which is determined by us from time to time) or on a day which is not a Business Day, such order shall be deemed to have received on the immediate succeeding Business Day.

• Any Outbound Payment Order issued by you and accepted by us shall be irrevocable. We shall act in accordance with the Outbound Payment Order if such Outbound Payment Order is acceptable to us.

• If the Outbound Payment Order is acceptable to us and if there is sufficient Hadsund Balance, we shall transfer the amount of the Outbound Payment towards the bank account of the Approved Payee within 2 Business Days (but we cannot guarantee that the Approved Payee would be able to receive the payment within 2 Business Days due to the processing time of the Service Providers). You acknowledge that the Fees will be deducted from the settlement amount or the Hadsund Balance before any such Transaction. You further confirm that we may deduct the bank charges and other fees and expenses charged by any Service Provider or third party from the Hadsund Balance or amount as stipulated in the Outbound Payment.

  若我们接受出账付款指令且您的恒新余额充足，我们将在2个工作日内将出账付款金额转入核准收款人的银行账户（由于服务供应商需时处理交易，我们无法保证已批准的收款人能够在2个工作日内收到付款）。您明白，费用将在任何此类交易之前从结算金额或恒新余额中扣除。您进一步确认，我们可以根据出账付款的规定，从您的恒新余额或金额中扣除任何服供货商或第三方收取的银行费用和其他费用。

• The debit value date for you acting as payer shall in no event be earlier than the time at which the amount specified in the Outbound Payment Order is debited from the Payment Account.

• In the unlikely event that we have paid the Approved Payee an amount larger than the Hadsund Balance immediately before the Outbound Payment Order for any reason whatsoever, you acknowledge and confirm that we may issue a request to you at any time thereafter for payment of the amount overpaid back to us. You shall make such payment within 2 Business Days from the date of our request.

  若出现我们在出账支付指令之前出于任何原因向获批准收款人支付的金额超过了恒新余额的不寻常状况时，您明白及确认我们可以在此后随时向您发出请求，要求您将多支付的金额返还给我们。您应于我们发出请求之日起2个工作日内支付该款项。

• Notwithstanding any provision in this Agreement, in the event that (a) we have accepted any Outbound Payment Order or any other order for remittance or currency exchange pursuant to your instructions and (b) you subsequently cancelled such order or circumstances arisen to the effect that we are unable to perform such order (otherwise than circumstances caused by us), you shall indemnify Hadsund for and keep Hadsund fully and effectively indemnified against all losses, damages, costs (including, without limitation, reasonable professional fees) and expenses incurred or suffered by Hadsund as a result of such inability to perform such order.

  不论本协议的任何条文，若(a)我们已接受任何您给予的出账付款指令或任何其他汇款或货币兑换指令及(b)您及后取消该指令或客观情况发生变化致使我们不能履行该指令(因我们造成的情况除外)，您应就恒新因未能履行该指令而造成或衍生的损失、损害、费用(包括合理的专业人士费用)及支出向恒新作出弥偿，并保证恒新全额及有效地获得弥偿。

• This schedule shall only be applicable if the funds of the Customers from the Territory of China (for the purpose of this Agreement only; for the avoidance of doubt, excluding Hong Kong, Macao Special Administrative Region, and Taiwan, the same below) are to be settled to the Territory of China through non-bank payment institutions in the Territory of China. While Hadsund will provide the Hadsund Services, the Customer understands and acknowledges that the PRC Laws require the Customer to be onboarded with a Service Provider in the Territory of China before the Settlement Order/Outbound Payment Order can be transacted. The Customer hereby confirms its acceptance to the onboarding with the Service Provider for the part of transaction involving the Territory of China.

  本附件于中国境内(仅为本协议之目的，未免疑义，不包括香港、澳门特别行政区及台湾地区，下同)客户的款项通过中国境内非银支付机构结算至中国境内时适用。在恒新提供恒新服务时，客户明白及确认，根据中国法律要求，客户必须与一间中国境内的服务提供商建立业务关系方可进行结算指令/出账付款指令。客户特此确认，同意就涉及中国境内的交易部分，与该服务提供商建立业务关系。

• The Customer shall provide all underlying transaction data and information to the Service Provider as reasonably required by the Service Provider together with the Settlement Order/Outbound Payment Order. Such information shall be in line with the requirements of the PRC Laws, and all directions and guidelines from time to time issued by the People's Bank of China, the State Administration of Foreign Exchange and all relevant regulatory authorities.

  客户直接向服务提供商提交结算指令/出账付款指令，并提供所有服务提供商合理要求的底层交易数据及信息予服务提供商。该等信息须满足中国法律，及所有不时由中国人民银行、国家外汇管理局及所有相关监管机构发出的指引及要求。

• The Customer warrants that all information contained in the Settlement Order/ Outbound Payment Order shall be true, accurate and complete. Hadsund and the Service Provider shall in no event be liable if the funds cannot be transferred due to false, inaccurate or incomplete information provided by the Customer.

  客户保证所有于结算指令/出账付款指令所载的信息均为真实、准确及完整。恒新及服务提供商均无须因该等客户提供的信息的失实、不准确或不完整而导均款项未能转出承担任何责任。

• Hadsund may, at its sole and absolute discretion, refuse to process any Settlement Order/ Outbound Payment Order without assigning reasons thereto.

  恒新可按其单独及绝对的酌情权拒绝处理任何结算指令/出账付款指令，而无须给予理由。

• Upon your successful application for use of the Hadsund Services, you may use the currency exchange services provided by us alone or in addition to the Outbound Transaction services or the Inbound Transaction services. This schedule shall only be applicable if you use the aforesaid services.

  在您成功申请使用恒新服务后，您可以单独使用我们提供的货币兑换服务，或将其与出账交易服务或入账交易服务结合使用。本协议仅适用于您使用上述服务的情况。

• For currency exchange, you shall deposit sufficient funds of original currency to the Payment Account before giving instructions to us. Upon receipt of your instructions for currency exchange, we will provide the on-the-spot exchange rate and send to you for confirmation. Usually the exchange rate would be valid for 1 or 2 minutes. Once the exchange rate is confirmed, we shall conduct the currency exchange immediately and you can see the funds in target currency in the Hadsund Balance.

• In case the currency exchange request is based on a Transaction, it will be completed at the foreign exchange rate at the applicable transaction time as determined by us at our sole and absolute discretion. To avoid the fluctuation of foreign exchange rate, the foreign exchange rate of each Transaction will be on-the-spot. As such, we may not be able to provide you the foreign exchange rate in advance.

  若交易涉及到货币兑换，则将按照我们全权确定的适用交易时间的汇率完成。为避免汇率波动，每笔交易的汇率将为即时汇率。因此，我们可能无法在交易前向您提供汇率。

• We do not accept any future exchange as we are not licensed with the Securities and Futures Commission and all Transactions are on-the-spot exchange.

• At any time when your Hadsund Balance is positive, you may submit a Settlement Order to instruct Hadsund to transfer part or all of the Hadsund Balance to your Beneficiary Account. You acknowledge that the Fees will be deducted from the settlement amount directly or the Hadsund Balance before any such Transaction. The Settlement Order shall be in a form specified by us and shall include the following information:

• the amount requested in the currency in the Hadsund Account or in the currency requested by you from time to time; and

• valid Beneficiary Account details.

• Any Settlement Order issued by you and accepted by us shall be irrevocable. We shall act in accordance with the Settlement Order if such Settlement Order is acceptable to us.

  任何您发出的且由我们接收的结算指令均为不可撤销。若该等结算指令为我们所接受，我们将依结算指令行事。

• If the Settlement Order is acceptable to us, we will initiate a Settlement Transaction in accordance with such Settlement Order. You acknowledge that the Fees will be deducted from the settlement amount or the Hadsund Balance before any such Transaction. You further confirm that we may deduct the bank charges and other fees and expenses charged by any Service Provider or third party from the Hadsund Balance or settlement amount as stipulated in the Settlement Transaction.

  若该等结算指令为我们所接受，我们将依该等结算指令启动结算交易。您明白，费用将在该等交易进行前，由结算金额或恒新余额中扣除。您进一步确认，我们有权由结算交易所规定的结算金额或恒新余额中扣除银行费用及其他费用以及任何服务提供商或第三方要求的费用。

• For the sake of illustration only, the Settlement Order received by Hadsund will usually be processed within 1 to 3 Business Days or on the day specified by you. You acknowledge and confirm that the timeline may be adjusted due to circumstances and the time frame specified in this paragraph shall in no event be seen as an obligation on the part of Hadsund.

• You acknowledge that we are not a bank or stored value facilities licensee and that we are not able to hold your funds for an indefinite period of time.
